OarClass Legal
Terms of Service
These Terms of Service govern access to and use of OarClass, including our website, school management platform, applications, portals, integrations and related services. By accessing or using OarClass, you agree to these Terms where they apply to you.
Agreement to these Terms
These Terms of Service ("Terms") form an agreement governing your access to and use of OarClass and the services made available through it.
In these Terms, "OarClass", "we", "us" and "our" refer to the operator of the OarClass platform. "You" and "your" refer to the person or organisation using or accessing the Services.
If you use OarClass on behalf of a school, academy, company or other organisation, you represent that you have authority to accept these Terms on behalf of that organisation.
Where your organisation has entered into a separate written agreement with OarClass, that agreement may contain additional or different terms. If there is a conflict, the signed agreement will govern to the extent of that conflict.
If you do not agree to these Terms, you should not access or use the Services.

You may use OarClass only if you are legally permitted to enter into these Terms or if your access has been validly authorised by an institution, parent, guardian or other authorised person.
Users who are minors may access OarClass only through an authorised education environment or as otherwise permitted by applicable law and the relevant school or guardian.

You are responsible for activity performed through your account where that activity results from your acts, omissions or failure to protect your credentials, except to the extent prohibited by applicable law.
OarClass may require additional authentication, verification or security measures where reasonably necessary to protect the Services.
Schools, academies and institutional customers
Where a school, academy or other institution uses OarClass, that institution may create and administer user accounts, assign roles, configure permissions and manage information relating to its education community.

Such functionality may:
- Be incomplete or subject to significant change.
- Contain bugs or technical issues.
- Have limited support or availability.
- Be modified or discontinued before general release.
Early-access functionality should not be relied upon for critical operations unless OarClass has expressly stated that it is ready for such use.

Customers and users must:
- Protect login credentials.
- Use appropriate account and device security.

Where reasonably possible and appropriate, we will attempt to provide notice and an opportunity to resolve the issue before suspension.
Immediate action may be taken where delay could create a security, legal or operational risk.
Termination and account closure
These Terms continue while you use OarClass unless terminated in accordance with these Terms, an applicable subscription arrangement or another written agreement.
OarClass may terminate or disable access where:
- There is a material or repeated breach of these Terms.
- Use of the Services creates a material security or legal risk.
- The customer fails to pay amounts due and does not resolve the issue after applicable notice.
- OarClass is legally required to terminate access.
- The Services or relevant product are discontinued, subject to any applicable contractual obligations.
Following termination, access to the Services may end and data may be retained, returned, exported or deleted in accordance with the applicable agreement, our Privacy Policy and legal requirements.
Provisions that by their nature should survive termination will continue to apply, including provisions relating to intellectual property, payment obligations, disclaimers, liability and disputes.
Disclaimers
To the maximum extent permitted by applicable law, the Services are provided on an "as available" basis.
OarClass does not promise that the Services will be uninterrupted, completely error-free or suitable for every possible institutional requirement.
Schools and authorised staff remain responsible for professional, academic, administrative and operational decisions they make using information available through the Services.
OarClass is a technology platform. It does not replace professional legal, accounting, educational, safeguarding or regulatory advice.
Nothing in these Terms excludes any warranty or legal protection that cannot lawfully be excluded.
Limitation of liability
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
Subject to that qualification and to the maximum extent permitted by law, OarClass will not be liable for indirect, incidental, special, consequential or punitive losses arising from use of the Services.
This may include, where legally permitted, loss of profits, revenue, business opportunity, goodwill or anticipated savings where those losses are indirect or consequential.
OarClass will not be responsible for loss or damage caused primarily by:
- Unauthorised use of an account resulting from a user's failure to protect credentials.
- Customer or user content.
- Decisions made by a school or user based on information they entered or controlled.
- Third-party systems or services outside OarClass's reasonable control.
- Use of the Services contrary to documentation, instructions or these Terms.
Where a separate written customer agreement sets a specific liability cap or allocation of risk, that agreement will govern.
Indemnification
To the extent permitted by applicable law, an institutional customer agrees to indemnify and hold OarClass harmless from third-party claims, losses, liabilities, damages and reasonable costs arising directly from:
- Customer Content that the institution had no right to provide.
- The institution's unlawful use of the Services.
- Material breach of these Terms by the institution.
- Violation of third-party rights by the institution through its use of OarClass.
This section does not require individual students, parents or other consumer users to provide an indemnity where such an obligation would be unlawful or inappropriate under applicable law.
Governing law
These Terms are governed by the laws of [INSERT GOVERNING JURISDICTION] , without regard to conflict-of-law principles, except where mandatory consumer or other applicable law requires a different result.
If OarClass and an institutional customer enter into a separate written agreement that specifies governing law, that agreement will govern the relationship covered by it.
Resolving disputes
Before beginning formal legal proceedings, we encourage users and customers to contact OarClass so that we can attempt to resolve the matter directly.
Unless a separate agreement or mandatory law provides otherwise, disputes that cannot be resolved informally will be submitted to the courts having lawful jurisdiction under the governing law stated above.
Nothing in this section prevents either party from seeking urgent interim or protective relief where permitted by law.
Changes to these Terms
OarClass may update these Terms as the platform, business or applicable legal requirements develop.
When we update the Terms, we will publish the revised version on this page and update the Last updated date.
Where a change materially affects existing rights or obligations, we may provide additional notice where reasonably appropriate or legally required.
Continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms where permitted by applicable law.
General terms
Entire agreement
These Terms, together with any applicable order, subscription terms, Privacy Policy and written customer agreement, constitute the agreement relating to the matters they cover.
Severability
If a provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
No waiver
Failure to enforce a provision of these Terms does not waive the right to enforce that provision later.
Assignment
Users may not assign or transfer their rights under these Terms without OarClass's consent where consent is legally permitted to be required.
OarClass may assign these Terms in connection with a merger, reorganisation, financing, acquisition or transfer of the relevant business, subject to applicable law and contractual obligations.
Force majeure
Neither party will be responsible for failure or delay caused by events beyond its reasonable control to the extent recognised by applicable law, including major infrastructure failures, natural disasters, war, government action or widespread telecommunications outages.
Headings
Section headings are provided for convenience and do not change the meaning of these Terms.
